We understand it might be tempting to skip these Terms of Use, but it’s crucial to establish what you can expect from Forest Carbon when browsing our site (“Site”). Use User access to the Site is free, although some services may be subject to compensation, as specified at the time of contracting. Forest Carbon will clearly display this information during service contracting. To access certain features, such as emissions offsetting or report requests, users will need to register information required by Forest Carbon, providing it truthfully and completely. Site usage implies acceptance, understanding, and binding to these Terms of Use. To effectively promote our mission and fulfill our purpose, it is essential that both Forest Carbon and our Suppliers (as defined below) adhere to a clear and consistent Code of Ethics and Conduct (“Code”). This Code applies to individuals and entities, including partners, investors, directors, executives, employees, service providers, representatives, consultants, and business partners (“Suppliers”) of Forest Carbon. It must be implemented in all transactions, both internal and external, as well as in all relationships in which Forest and its Suppliers are involved or will be involved, regardless of whether they result from written or verbal contracts.
Objective All members of Forest Carbon and their suppliers, as defined, are required to strictly adhere to all applicable laws, regulations, ordinances, and policies, including this Code when relevant. They must always adhere to the highest ethical standards in business and their transactions. No individual from Forest Carbon or supplier, as defined, has the authority to engage in conduct, active or negligent, that violates this Code, whether due to commercial pressures, competitive practices, industry practices, or other requirements. All members of Forest Carbon and suppliers, as defined, are responsible for enforcing and following Forest Carbon’s Code of Ethics and Compliance. They must distribute and make this code available to new employees, outsourced suppliers, contractors, and subcontractors, including any applicable updates. Forest Carbon values ethical conduct and ethical management practices from its suppliers. We encourage, without prejudice, that they follow these principles, promoting an ethical and responsible business environment

Forest Carbon actively encourages its Suppliers to commit firmly to ethical and responsible management, as outlined in this Code. We reserve the exclusive right to conduct periodic assessments to ensure continued adherence to these guidelines. Any member of Forest Carbon or Supplier (as defined) who violates this Code, or authorizes or allows such a violation, will be subject to disciplinary measures, both administrative and contractual. These measures may include contract termination, fines, sanctions, penalties, and/or termination of the contractual relationship, as deemed appropriate. We reaffirm our commitment to maintaining an ethical and responsible business environment, seeking excellence in all business interactions.
All relationships and businesses, past or future, involving Forest Carbon, Suppliers (as defined), competitors, and/or public bodies must be governed by strict compliance with all applicable laws, decrees, and regulations. It is crucial to act reasonably and cautiously in all negotiations, ensuring compliance with human rights, environmental legislation, anti-corruption legislation, competition legislation, and anti-money laundering regulations. No member of Forest Carbon or Suppliers (as defined) should use their position, title, or relationship to request favors or personal services from any other member of Forest Carbon and/or Suppliers (as defined).
In addition to fully complying with these laws, all members of Forest Carbon and Suppliers (as defined) have a responsibility to encourage other members of Forest Carbon and third-party Suppliers (as defined) to adhere to, observe, and comply with this Code. This includes promoting ethical administration and good management practices.
Forest Carbon promotes and values initiatives aimed at diversity and equality. Therefore, we prohibit all forms of discrimination based on race, religion, gender, sexual orientation, age, political opinion, nationality, social position, origin, or other characteristics. Decisions related to hiring, benefits, promotions, training, disciplinary measures, and dismissals will be exclusively based on employees’ or contractors’ skills and performance. We vehemently condemn any form of aggression or harassment, whether physical, psychological, moral, or sexual. If any member of Forest Carbon or Supplier (as defined) witnesses any discrimination, aggression, or harassment, whether directly or indirectly, please contact the Compliance Area through the Ethics Reporting Channel (support@forestcarbon.eco.br), which will handle each situation appropriately. After investigating the facts, appropriate administrative sanctions will be applied to the individual(s) responsible for the act(s). We ensure the anonymity of the whistleblower; therefore, we encourage you not to hesitate to contact the Compliance Area if you witness any acts of discrimination or harassment.
Forest Carbon is committed to fair competition practices. It is imperative that all members of Forest Carbon and their suppliers understand how competition laws can impact their activities and strictly follow their guidelines. Non-compliance with competition laws can result in serious consequences for Forest Carbon, such as substantial fines, damage to the company’s reputation, legal disputes, and even criminal penalties. To ensure compliance with competition laws, it is crucial to:
No member of Forest Carbon or the Supplier (as defined) is authorized to compete directly with Forest Carbon or allow personal and/or family interests to interfere, directly or indirectly, in Forest Carbon’s operations. A conflict of interest may arise in any personal relationship that may influence our ability to act in the best interest of the company. This can also occur when our assessment of a situation is potentially affected by the prospect of personal benefit. Examples of situations that constitute conflicts of interest include:
Forest Carbon vehemently condemns any form of corruption. All members of Forest Carbon and their suppliers must adhere to and ensure compliance with local and international laws that prohibit corruption in all regions where we conduct our operations, including the Foreign Corrupt Practices Act (“FCPA”) and other relevant national and international legislations addressing bribery and corruption. It is strictly prohibited for members of Forest Carbon and suppliers (as defined) to directly or indirectly engage in the following activities:
Members of Forest Carbon cannot accept any form of benefit of value, and Suppliers are strictly prohibited from offering any value advantage (including gifts, awards, entertainment [tickets], favors, loans, services, or special treatment of any kind, payment for travel expenses or meals) (“Gifts”) to representatives of the public administration, individuals, or organizations linked to the public administration that are currently involved or intend to do business with Forest Carbon or current or potential Suppliers when the value exceeds R$ 300 (three hundred reais). In case of receiving a gift that exceeds the mentioned value, it is imperative to contact the Compliance Area immediately to coordinate the raffle and donation of the item among Forest Carbon members, if applicable. We are committed to maintaining transparent and ethical practices, ensuring strict compliance with anti-bribery and anti-corruption policies.
Members of Forest Carbon and Suppliers are not authorized to make political contributions on behalf of Forest Carbon or on their behalf unless the laws of the respective country allow such practices. All political contributions are strictly prohibited unless expressly authorized by the Compliance Department, directly or indirectly, on behalf of Forest Carbon. Any member of Forest Carbon or Supplier holding public office (elected) or intending to run for municipal, state, or national elections must notify their intention and/or occupation to the Compliance Area in advance. This allows for a preliminary analysis of the feasibility and impact on business, as well as on the company’s reputation.
The financial statements, books, and records of Forest Carbon must accurately, clearly, completely, and in detail reflect all activities and operations of the company. This Department is prepared to communicate correctly and transparently, allowing investors to follow the activities and performance of Forest Carbon. If you are contacted by the press, send an email to mkt@forestcarbon.eco.br, which will handle requests on a case-by-case basis. Do not provide information and/or interviews without prior authorization from Forest Carbon to avoid inappropriate communications that may damage the name and image of Forest Carbon. If you post about Forest Carbon on social media, make sure the post is consistent with your work and the ethical values of Forest Carbon and that it only addresses information that can be disclosed.
