Additionally, Forest Carbon is not responsible for delivering incomplete or inaccurate products and/or services due to incomplete, inaccurate, or false information provided by users.


Forest Carbon may also automatically collect information when users navigate the network pages, such as IP identification with connection date and time, click information, accessed pages, and subsequent pages after leaving the Forest Carbon site, entered search terms, among others. This collection may involve the use of cookies and other standard technologies, aiming to enhance users’ browsing experience based on their preferences and habits.

How long do we process the data?

Forest Carbon stores user personal data only for the time necessary to achieve the objectives presented in this Policy. Data may be retained as long as there is a relationship with the user, the contracted products and/or services are under development, there is a need to fulfill a legal or regulatory obligation, or protect Forest Carbon’s legal position in disputes or investigations.

1. Objeto

Through this website, we provide users with access to general information about Forest Carbon, including solutions related to carbon offsetting (CO2), existing projects, business partners, environmental feasibility report preparation, and other content about the carbon market. We understand it might be tempting to skip these Terms of Use, but it’s crucial to establish what you can expect from Forest Carbon when browsing our site (“Site”). 2. Conditions of Access and Site Use

Use User access to the Site is free, although some services may be subject to compensation, as specified at the time of contracting. Forest Carbon will clearly display this information during service contracting. To access certain features, such as emissions offsetting or report requests, users will need to register information required by Forest Carbon, providing it truthfully and completely. Site usage implies acceptance, understanding, and binding to these Terms of Use. By using Forest Carbon services, the user commits to respecting all rules and obligations established in these Terms and Conditions of Use. If you disagree with any provision, it is recommended to immediately suspend the use of the Site and/or Forest Carbon services. When providing personal data, the user must accept our Privacy Policy.

 

3. Exclusion of Warranty and Liability

Forest Carbon is not responsible for damages arising from the use (or inability to use) the Site, including damages caused by viruses, inaccuracies, or failures, unless there is proven or intentional negligence on the part of Forest Carbon. The company is not liable for damages resulting from the lack of updating, compatibility, or accuracy of the Site, nor for failures or delays in the delivery of electronic communications, third-party manipulation, or software programs. Forest Carbon disclaims all warranties, including quality, adequacy, availability, and merchantability. Forest Carbon aims to unite individuals and businesses in the pursuit of a common goal: addressing climate change. To effectively promote our mission and fulfill our purpose, it is essential that both Forest Carbon and our Suppliers (as defined below) adhere to a clear and consistent Code of Ethics and Conduct (“Code”). This Code applies to individuals and entities, including partners, investors, directors, executives, employees, service providers, representatives, consultants, and business partners (“Suppliers”) of Forest Carbon. It must be implemented in all transactions, both internal and external, as well as in all relationships in which Forest and its Suppliers are involved or will be involved, regardless of whether they result from written or verbal contracts.

Objeto

Objective All members of Forest Carbon and their suppliers, as defined, are required to strictly adhere to all applicable laws, regulations, ordinances, and policies, including this Code when relevant. They must always adhere to the highest ethical standards in business and their transactions. No individual from Forest Carbon or supplier, as defined, has the authority to engage in conduct, active or negligent, that violates this Code, whether due to commercial pressures, competitive practices, industry practices, or other requirements. All members of Forest Carbon and suppliers, as defined, are responsible for enforcing and following Forest Carbon’s Code of Ethics and Compliance. They must distribute and make this code available to new employees, outsourced suppliers, contractors, and subcontractors, including any applicable updates. Forest Carbon values ethical conduct and ethical management practices from its suppliers. We encourage, without prejudice, that they follow these principles, promoting an ethical and responsible business environment

  • Maintain constant vigilance and ensure continuous compliance with relevant laws and decrees, with a special focus on those related to labor, social security, and collective bargaining agreements.

  • Implement a robust system to actively monitor and guide employees, customers, service providers, and suppliers, with particular attention to combating and preventing forced or slave-like labor, child labor, pedophilia, discrimination, moral and/or sexual harassment, tax evasion, corruption, and money laundering.

Internal Policies and Robust Social Inclusion Programs:

  • Establish internal policies and/or robust social inclusion programs, along with a strong code of conduct and ethics, reinforcing the commitment to corporate responsibility.

Establish Complaint Channels and Accessibility:

  • Implement a reporting channel, an ombudsman, and accessible and efficient service and relationship channels, promoting transparent communication and facilitating the expression of concerns, feedback, and queries

Forest Carbon actively encourages its Suppliers to commit firmly to ethical and responsible management, as outlined in this Code. We reserve the exclusive right to conduct periodic assessments to ensure continued adherence to these guidelines. Any member of Forest Carbon or Supplier (as defined) who violates this Code, or authorizes or allows such a violation, will be subject to disciplinary measures, both administrative and contractual. These measures may include contract termination, fines, sanctions, penalties, and/or termination of the contractual relationship, as deemed appropriate. We reaffirm our commitment to maintaining an ethical and responsible business environment, seeking excellence in all business interactions.

Ethical Conduct

All relationships and businesses, past or future, involving Forest Carbon, Suppliers (as defined), competitors, and/or public bodies must be governed by strict compliance with all applicable laws, decrees, and regulations. It is crucial to act reasonably and cautiously in all negotiations, ensuring compliance with human rights, environmental legislation, anti-corruption legislation, competition legislation, and anti-money laundering regulations. No member of Forest Carbon or Suppliers (as defined) should use their position, title, or relationship to request favors or personal services from any other member of Forest Carbon and/or Suppliers (as defined).

In addition to fully complying with these laws, all members of Forest Carbon and Suppliers (as defined) have a responsibility to encourage other members of Forest Carbon and third-party Suppliers (as defined) to adhere to, observe, and comply with this Code. This includes promoting ethical administration and good management practices.

Discrimination and Harassment

Forest Carbon promotes and values initiatives aimed at diversity and equality. Therefore, we prohibit all forms of discrimination based on race, religion, gender, sexual orientation, age, political opinion, nationality, social position, origin, or other characteristics. Decisions related to hiring, benefits, promotions, training, disciplinary measures, and dismissals will be exclusively based on employees’ or contractors’ skills and performance. We vehemently condemn any form of aggression or harassment, whether physical, psychological, moral, or sexual. If any member of Forest Carbon or Supplier (as defined) witnesses any discrimination, aggression, or harassment, whether directly or indirectly, please contact the Compliance Area through the Ethics Reporting Channel (support@forestcarbon.eco.br), which will handle each situation appropriately. After investigating the facts, appropriate administrative sanctions will be applied to the individual(s) responsible for the act(s). We ensure the anonymity of the whistleblower; therefore, we encourage you not to hesitate to contact the Compliance Area if you witness any acts of discrimination or harassment.

Competition

Forest Carbon is committed to fair competition practices. It is imperative that all members of Forest Carbon and their suppliers understand how competition laws can impact their activities and strictly follow their guidelines. Non-compliance with competition laws can result in serious consequences for Forest Carbon, such as substantial fines, damage to the company’s reputation, legal disputes, and even criminal penalties. To ensure compliance with competition laws, it is crucial to:

  • Refrain from exchanging or sharing confidential information with competitors, such as future price increases, service costs, or business strategies.
  • Avoid entering into agreements or understandings with competitors that may restrict competition, such as price-fixing agreements, exclusive territory agreements, or customer division.
  • Denounce any action that could be interpreted as anti-competitive, monopolistic, or contrary to competition laws, including participating in cartels.
  • Exercise extreme caution when applying these rules in all contacts with competitors, including associations and industry organizations.
  • Refrain from discussing with third parties, directly or indirectly, matters related to competitors’ products or services, unless based on factual, public, and proven information, avoiding public discrediting of our competitors’ image.
  • Consult the Compliance Area whenever doubts arise, using the Compliance Channel to report concerns or seek guidance. If there are suspicions that Forest Carbon is involved in any anticompetitive behavior, it is crucial to contact the Compliance Department immediately.

Conflict of Interest

No member of Forest Carbon or the Supplier (as defined) is authorized to compete directly with Forest Carbon or allow personal and/or family interests to interfere, directly or indirectly, in Forest Carbon’s operations. A conflict of interest may arise in any personal relationship that may influence our ability to act in the best interest of the company. This can also occur when our assessment of a situation is potentially affected by the prospect of personal benefit. Examples of situations that constitute conflicts of interest include:

  • Involvement in the business, administration, or management of any supplier, service provider, agent, business partner, customer, competitor, or any other organization that currently conducts or intends to conduct business with Moss or its affiliated companies. This restriction extends to family members, including spouses and direct relatives up to the third degree.
  • Making business decisions motivated by personal and/or family interests.
  • Receiving personal benefits from suppliers or competitors, such as gifts, meals, transportation, or lodging, regardless of value, in exchange for favors or advantages.
  • Using company assets or job benefits for personal purposes.
  • Maintaining a personal relationship with a member of Forest Carbon or supplier that may influence their decision-making process at Forest Carbon or interfere with the fulfillment of Forest Carbon’s commitments. In case of doubt regarding the existence of an actual or potential conflict of interest, it is crucial to immediately communicate with the Compliance Area. Additionally, refrain from making any decisions related to the conflict of interest situation until the issue is properly resolved.

Anti-Corruption Policy

Forest Carbon vehemently condemns any form of corruption. All members of Forest Carbon and their suppliers must adhere to and ensure compliance with local and international laws that prohibit corruption in all regions where we conduct our operations, including the Foreign Corrupt Practices Act (“FCPA”) and other relevant national and international legislations addressing bribery and corruption. It is strictly prohibited for members of Forest Carbon and suppliers (as defined) to directly or indirectly engage in the following activities:

  • Promising, offering, or granting undue advantages to government officials, government agencies, or third parties on behalf of Forest Carbon or personally. These advantages may include, but are not limited to, money, cash equivalents, donations, gifts, entertainment (such as event tickets), accommodation, meals, travel expenses, or any other form of property.
  • Making small payments requested by public officials to expedite or ensure the execution of government procedures or actions, known as “facilitation payments.”
  • Hiring third parties who may, even occasionally, interact with official or public bodies on behalf of Forest Carbon without the prior approval of the Compliance Area. For additional information on this matter, please contact the Compliance Area. We are committed to maintaining ethical business practices and compliance with all current anti-corruption laws.

Gifts, Entertainment, Travel, and Others

Members of Forest Carbon cannot accept any form of benefit of value, and Suppliers are strictly prohibited from offering any value advantage (including gifts, awards, entertainment [tickets], favors, loans, services, or special treatment of any kind, payment for travel expenses or meals) (“Gifts”) to representatives of the public administration, individuals, or organizations linked to the public administration that are currently involved or intend to do business with Forest Carbon or current or potential Suppliers when the value exceeds R$ 300 (three hundred reais). In case of receiving a gift that exceeds the mentioned value, it is imperative to contact the Compliance Area immediately to coordinate the raffle and donation of the item among Forest Carbon members, if applicable. We are committed to maintaining transparent and ethical practices, ensuring strict compliance with anti-bribery and anti-corruption policies.

Political Contributions and Elections for Political Offices

Members of Forest Carbon and Suppliers are not authorized to make political contributions on behalf of Forest Carbon or on their behalf unless the laws of the respective country allow such practices. All political contributions are strictly prohibited unless expressly authorized by the Compliance Department, directly or indirectly, on behalf of Forest Carbon. Any member of Forest Carbon or Supplier holding public office (elected) or intending to run for municipal, state, or national elections must notify their intention and/or occupation to the Compliance Area in advance. This allows for a preliminary analysis of the feasibility and impact on business, as well as on the company’s reputation.

Bookkeeping, Records, and Controls

The financial statements, books, and records of Forest Carbon must accurately, clearly, completely, and in detail reflect all activities and operations of the company. To ensure the legal and operational integrity of Forest Carbon, it is strictly prohibited for any member of Forest Carbon and/or Supplier to:

  • Make false, misleading, incomplete, inaccurate, or artificial entries in Forest Carbon’s books and records
  • Not record transactions in accordance with the accounting policy established by Forest Carbon.
  • Keep funds or assets not registered in financial statements.
  • Falsify accounting records, issue notes, or any other business record.
  • Fail to respond fully and correctly to any inquiries from internal, external auditors, or public authorities.
  • Employ any procedures or devices intended to manipulate, directly or indirectly, the quotation of assets or securities, inducing third parties to error with the aim of obtaining financial advantages for oneself or others. In case of knowledge about unregistered funds or assets, or any violation of these rules, it is imperative to report immediately to the Compliance Area. We are committed to transparency and strict compliance with all accounting standards and regulations.

Confidential Information

Members of Forest Carbon and Suppliers may have access to confidential information related to Forest Carbon, its members, and suppliers. “Confidential Information” encompasses non-public data about Forest Carbon, its members, and suppliers, such as financial information, personal data, documents, details about financial models, processes and products, software, hardware, and applications developed or in use, even if access occurred during the development process, among others. The obligation to maintain the confidentiality of this information must be observed, unless prior authorization from the Compliance Area. To comply with this responsibility, it is necessary to:

  • Store documents related to activities securely and avoid leaving materials containing confidential information in public places, office desks, or open and visible computers.
  • Lock the notebook when not in use.
  • Not disclose to anyone any Confidential Information, fact, or transaction involving the strategy of Forest Carbon, its members, and suppliers.
  • Not disseminate unofficial information (rumors) of any nature about Forest Carbon, its members, and suppliers.
  • Limit the discussion of matters related to Forest Carbon to work meetings, avoiding comments on projects in public places.
  • Address strategic or non-public matters of Forest Carbon, its members, and suppliers only through official communications from Forest Carbon.
  •  Not give lectures, seminars, or academic work on Forest Carbon or topics related to its area of activity without prior authorization from Forest Carbon. These guidelines aim to ensure the proper protection of confidential information and preserve the integrity and reputation of Forest Carbon.

Members of Forest Carbon and Suppliers may have access to confidential information related to Forest Carbon, its members, and suppliers. “Confidential Information” encompasses non-public data about Forest Carbon, its members, and suppliers, such as financial information, personal data, documents, details about financial models, processes and products, software, hardware, and applications developed or in use, even if access occurred during the development process, among others.   • Not give lectures, seminars, or academic work on Forest Carbon or topics related to its area of activity without prior authorization from Forest Carbon. These guidelines aim to ensure the proper protection of confidential information and preserve the integrity and reputation of Forest Carbon.

External Communication

Always forward requests for service to the Legal Department (legal@forestcarbon.eco.br) for communication with investors. This Department is prepared to communicate correctly and transparently, allowing investors to follow the activities and performance of Forest Carbon. If you are contacted by the press, send an email to mkt@forestcarbon.eco.br, which will handle requests on a case-by-case basis. Do not provide information and/or interviews without prior authorization from Forest Carbon to avoid inappropriate communications that may damage the name and image of Forest Carbon. If you post about Forest Carbon on social media, make sure the post is consistent with your work and the ethical values of Forest Carbon and that it only addresses information that can be disclosed. The use of images, logos, seals, and/or any information or materials, by Suppliers, that are owned by Forest Carbon, is necessarily linked to the prior and express authorization of Forest Carbon, and may, if and when authorized, be used only for institutions and for the disclosure of the respective signed instrument.
